1. Scope of Engagement

These terms govern the provision of accounting, tax, and advisory services by JAP Accountants ("we", "our", "us") to our clients ("you", "your"). Our engagement is limited to the specific services outlined in our engagement letter or service agreement. We will not be responsible for any matters outside the scope of our engagement unless specifically agreed in writing.

2. Fees and Payment

Our fees are based on the complexity and time required for each service. We offer fixed-fee packages for most services, with fees clearly outlined in our engagement letter. Payment is due within 14 days of invoice date unless otherwise agreed. We reserve the right to charge interest on overdue accounts and to suspend services for non-payment.

3. Confidentiality

We maintain strict confidentiality regarding all client information and business matters. We will not disclose any confidential information to third parties except as required by law, with your consent, or as necessary to provide our services. Our confidentiality obligations continue after the termination of our engagement.

4. Limitation of Liability

Our liability is limited to the amount of our professional indemnity insurance coverage. We are not liable for any indirect, consequential, or punitive damages. Our liability is also limited by the Professional Standards Legislation scheme under which we operate. You agree that this limitation is reasonable and necessary for the provision of professional services at competitive rates.

5. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes arising from these terms or our services will be resolved in the courts of Victoria. We are committed to resolving disputes amicably and may agree to alternative dispute resolution methods such as mediation.

6. Website Use

By using our website, you agree to use it only for lawful purposes and in a way that does not infringe the rights of others. You may not use our website to transmit any material that is defamatory, offensive, or otherwise unlawful. We reserve the right to restrict access to our website at any time.

7. Copyright and Intellectual Property

All content on our website, including text, graphics, logos, and software, is owned by JAP Accountants and is protected by copyright laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission. Any intellectual property created during our engagement remains our property unless specifically agreed otherwise.

8. Client Responsibilities

You agree to provide accurate, complete, and timely information necessary for us to provide our services. You are responsible for the accuracy of information provided and for making business decisions based on our advice. You must notify us promptly of any changes in your circumstances that may affect our services.

9. Termination

Either party may terminate our engagement with written notice. Upon termination, we will complete work in progress and provide you with all relevant documents. You remain responsible for payment of fees for services provided up to the date of termination. We will maintain your records in accordance with legal requirements.
